BRAND MENTORSHIP AGREEMENT

This Mentorship Agreement ("Agreement") is entered into between Juanita Carmet of Fashion Brand Strategist (“Coach”) and the undersigned client (“Client”), collectively referred to as the “Parties.”

1. Program Overview

The Coach agrees to provide an 8-week 1:1 mentorship program designed to offer strategic support, expert insight, and business development guidance. This includes:

  • One (1) 90-minute kickoff onboarding session

  • Eight (8) 60-minute mentorship calls

  • One (1) 55-minute final wrap-up session

  • Resource access: tools, checklists, and templates

  • Optional access to Telegram during business hours (Monday–Friday)

2. Payment Terms

  • The total fee for this mentorship program is $3,000 USD, due in full before services begin. A $1550/month payment plan is available if paid in two installments.

  • After the initial 8-week period, the Client may choose to continue on a month-to-month basis, billed at their locked-in monthly rate and payable upfront.

  • Late payments may result in the delay or suspension of service.

3. Refund & Chargeback Policy

  • This program is non-refundable once the first session has occurred.

  • The Client agrees not to initiate a chargeback or dispute the payment with their financial institution without first contacting the Coach to resolve any concerns in good faith.

  • Any chargeback initiated without prior communication will be considered a breach of this agreement and may result in legal or collection action.

  • No partial refunds will be issued for missed sessions, lack of participation, or failure to implement guidance provided.

4. Communication & Access

  • All sessions must be scheduled in advance. A 24-hour notice is required for rescheduling. Sessions must be completed within the program window unless otherwise agreed upon.

  • If included, Telegram access is intended for light messaging, quick check-ins, and clarification between sessions. It is not intended for full coaching conversations or emergency guidance.

  • Responses via Telegram may take up to 24 business hours.

5. Decorum & Conduct

The Client agrees to maintain respectful, professional, and courteous communication throughout the mentorship.

  • The Coach reserves the right to terminate this agreement without refund if the Client engages in abusive, hostile, inappropriate, or disrespectful behavior.

  • This includes repeated disregard for boundaries, excessive messaging outside agreed-upon platforms or hours, or combative communication.

6. Client Responsibility & Outcomes

  • The Coach offers expert guidance and strategic recommendations, but the Client is solely responsible for implementing all decisions in their business.


  • It is the Client’s responsibility to set up the calls via their scheduling link according to their availability and within the required timeframe.

  • The Coach does not and cannot guarantee specific results, revenue, or outcomes.

  • Failure to achieve desired outcomes does not constitute grounds for a refund. Success depends on many factors outside the Coach’s control, including the Client’s work ethic, decision-making, and market forces.

7. Third-Party Referrals & Liability

  • The Coach may suggest third-party vendors, service providers, or platforms based on professional experience.

  • These referrals are offered in good faith, but the Coach holds no liability for the actions, performance, or reliability of third-party services.

  • The Client agrees that the Coach shall not be held responsible for any damages, losses, or issues resulting from third-party referrals, partnerships, or vendors.

8. Breach of Contract

  • Any failure by the Client to uphold the terms of this agreement—including, but not limited to, non-payment, unauthorized chargebacks, disrespectful conduct, or failure to adhere to scheduling protocols—will be considered a breach of contract.

  • In the event of breach, the Coach reserves the right to terminate services immediately without refund, and pursue legal action if applicable.

9. Confidentiality

All materials, coaching strategies, and proprietary documents provided by the Coach are intended solely for the Client’s personal business use. They may not be duplicated, shared, or distributed without written permission.

10. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in a court of competent jurisdiction within Wyoming.
